Overview & Binding Scope

These Terms of Service govern your access to and use of the marketplace, valuation engines, DNS verification protocols, and transfer escrow services provided by DomainCook Inc. By registering an account, placing bids, listing domain names, or executing acquisitions, you enter into a legally binding contract with DomainCook Inc.

01.0• General Agreement

Acceptance of Terms & Corporate Eligibility

These Terms of Service govern your access to and use of the marketplace, valuation engines, DNS verification protocols, and transfer escrow services provided by DomainCook Inc. By registering an account, placing offers, listing domain names, or executing acquisitions, you agree to be bound by these Terms.

•You represent that you are at least 18 years of age and hold requisite authority to legally bind yourself or your commercial entity.

•Accessing DomainCook via automated scraping tools, unauthorized scripts, or speculative bot networks without prior written approval is strictly prohibited.

•Any ongoing utilization of platform valuation tools or transactional escrow manifests irrevocable consent to the current iteration of these terms.

02.0• Authentication

Account Security & Authorized Credentials

To preserve transactional confidentiality and protect secondary market portfolios, users must provide verified corporate or individual identities.

•Users are solely responsible for safeguarding authentication tokens, passwords, and multi-factor authentication (MFA) credentials.

•You must immediately notify DomainCook Security (security@domaincook.com) of any suspected unauthorized account access or compromised API keys.

•DomainCook bears no liability for unauthorized acquisitions or registry disbursements resulting from compromised credentials on your device.

03.0• Listings Standard

Marketplace Listings & Cryptographic DNS Verification

All domains listed on DomainCook undergo authoritative ownership validation to prevent fraudulent brokering, trademark conflicts, and unfulfilled bids.

•Cryptographic DNS Verification: Sellers must verify administrative ownership by adding a unique TXT verification record to the domain's authoritative DNS zone.

•Listing Accuracy: Stated reserve limits, acquisition prices, and past traffic metrics must accurately mirror current registration conditions.

•Exclusive Transaction Lock: While an accepted offer or escrow process is pending, sellers agree not to market or pledge the asset across other venues.

04.0• Transfer Standard

Domain Transfer & Delivery Settlement Protocol

Domain handoffs follow standardized registrar delivery sequences to ensure both funds and technical ownership are safeguarded simultaneously.

•Order Confirmation: Legally binding purchase commitments are verified by our transaction routing engine prior to escrow initiation.

•EPP Authorization: The seller unlocks the domain, generates the authoritative EPP/Auth code, or initiates an instant registrar push.

•Delegation & Inspection Window: The buyer confirms full control and DNS nameserver propagation within a standard 48-hour acceptance window.

•Final Settlement: Upon technical confirmation of successful registry delivery, escrow proceeds are released to the seller.

05.0• Analytical Guidance

AI Valuation Disclaimers & Algorithmic Limits

DomainCook provides algorithmic domain appraisals, linguistic brandability indices, and econometric comp forecasts for informational and advisory analysis.

•Valuations are statistical estimates derived from historical auction datasets, syllabic patterns, and sector venture capital liquidity.

•An automated valuation estimate does not guarantee that a given asset will liquidate at that figure on open secondary exchanges.

•Algorithmic scores do not constitute formal real estate, tax, financial, or certified legal counsel.

06.0• IP Protection

Trademarks & ICANN UDRP Anti-Squatting Compliance

DomainCook strictly adheres to the ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP) and intellectual property statutes.

•Users may not list or monetize domain assets that infringe upon active registered trademarks in bad faith.

•Trademark owners may dispatch formal intellectual property notices to legal@domaincook.com accompanied by certified trademark registry documents.

•Listings subjected to formal UDRP arbitration filings or federal court disputes are immediately frozen until dispute resolution.

07.0• Fee Policy

Marketplace Commission Schedules & Escrow Costs

Standard success commissions apply solely upon successful completion and delivery of secondary market transactions.

•No upfront listing fees: Listing verified domains in the marketplace catalog is zero-cost for vetted asset owners.

•Standard Brokerage Commission: 10% on gross transactions up to $50,000 USD; 7.5% on amounts exceeding $50,000 USD.

•Wire Transfer & Rails: Institutional bank transfer and international SWIFT fees are transparently itemized prior to final transfer.

•Local Taxes: Buyers and sellers bear sole responsibility for computing and remitting their jurisdiction's applicable VAT, sales, or capital gains tax.

08.0• Liability

Limitation of Liability & Warranty Disclaimers

DomainCook is provided on an 'as is' and 'as available' basis without express warranties regarding third-party registry uptime or registrar transfer delays.

•To the fullest extent permitted by law, DomainCook is not liable for indirect, punitive, or consequential damages, including loss of brand equity or server downtime.

•Our aggregate liability for any claim arising out of these terms is strictly capped at the brokerage commission paid by you to DomainCook in the prior 12 months.

•DomainCook is not responsible for registrar-level lockouts, registry maintenance windows, or ICANN registry-level fee adjustments.

09.0• Delaware Law

Dispute Resolution, Arbitration & Governing Law

These Terms are governed by and construed in accordance with the substantive laws of the State of Delaware, United States, without regard to conflict of law principles.

•Any dispute, controversy, or claim arising out of this agreement shall be settled through confidential, binding individual arbitration.

•Arbitration proceedings shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in Wilmington, Delaware.

•You agree to proceed strictly on an individual basis and waive any right to commence or participate in any class action lawsuit against DomainCook.
